[AFRICA] COSUMAF Opens Consultation on Private Placement Reform in the CEMAC Zone

COSUMAF launches a public consultation on July 14, 2026 to modernise the regulatory framework for private placement in the six CEMAC member states. A key reform to attract capital to Central Africa.

A quiet but structural reform for Central African financial markets. On July 14, 2026, the Central African Financial Market Supervisory Commission (COSUMAF) launched a public consultation on a new regulatory framework to modernise private placement operations across the six CEMAC member states.

Private placement: the under-regulated segment

Private placement — raising funds from a limited number of qualified investors without a public offering — is a key mechanism for financing businesses and infrastructure projects. In the CEMAC zone, this segment had remained poorly regulated, limiting investor confidence and slowing the development of the regional capital market.

The consultation aims to establish clear rules on issuance conditions, disclosure obligations, subscriber rights, and the transferability of placed securities. The regulator is inviting all stakeholders — banks, corporations, investment funds, institutional investors — to contribute before the text is finalised.

Six countries, one integrating market

The CEMAC zone comprises six states: Cameroon, Gabon, Republic of Congo, Central African Republic, Equatorial Guinea, and Chad. These economies, some heavily dependent on hydrocarbons, are seeking to diversify their financing sources and attract private capital.

The BVMAC was already posting higher volumes in June 2026. COSUMAF reform fits the same pattern of professionalisation in Central African financial markets.

For investors from the Indian Ocean and East Africa, the structuring of the CEMAC capital market opens new perspectives. A clear regulatory framework for private placements can attract pan-African funds and institutional investors who had previously hesitated to engage.
